Item 2.02.		Results of Operations and Financial Condition.

     On December 10, 2008, Cadence Design Systems, Inc. (“Cadence”) issued a press release announcing its financial results for the third quarter of 2008, ended September 27, 2008, and the results of the previously announced accounting investigation conducted by the Audit Committee of its Board of Directors.

     A copy of the press release is attached hereto as Exhibit 99.01 and is incorporated by reference herein.
